These Terms and Conditions ("Terms") govern your access to and use of the ResQbites platform, including our website, mobile application, and any other services provided by ResQbites (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Platform.

1. Definitions

• Platform: Refers to the ResQbites website, mobile application, and any related services.
• Seller: Any individual or entity that lists and sells surplus food through the Platform.
• Consumer: Any individual who browses, purchases, and picks up surplus food from Sellers through the Platform.
• Transaction Fee: A fee received by ResQbites from the transactions conducted through the Platform.

2. Eligibility

To use the Platform, you must be at least 18 years old and capable of entering into legally binding agreements. By using the Platform, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

Account Creation

To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify ResQbites immediately of any unauthorized use of your account.

4. Listing and Selling Surplus Food

Listing Requirements

Sellers must accurately describe the surplus food they list on the Platform, including any relevant details such as expiration dates, ingredients, and potential allergens.

Pricing

Sellers agree to list surplus food at discounted rates. The final price paid by the Consumer will include the Transaction Fee payable to ResQbites.

Compliance

Sellers are responsible for ensuring that their surplus food complies with all applicable laws and regulations, including food safety standards.

5. Purchasing and Picking Up Surplus Food

Browsing and Purchasing

Consumers can browse for discounted products listed by Sellers on the Platform. When a Consumer makes a purchase, they agree to pick up the surplus food from the Seller at the designated location and within the specified time frame.

Order Confirmation

Upon purchasing, Consumers will receive an order confirmation with details of the pick-up location and time.

Pick-Up

Consumers are responsible for picking up their purchases at the specified location and time. Failure to do so may result in the forfeiture of the purchase without refund.

6. Transaction Fees and Payments

Transaction Fee

ResQbites will receive a fee from each transaction conducted through the Platform. This fee will be included in the final price paid by the Consumer.

Payment Processing

All payments will be processed through a secure payment gateway. By using the Platform, you agree to the terms and conditions of the payment processor.

7. User Conduct

Prohibited Activities

Users agree not to engage in any prohibited activities, including but not limited to: violating any laws or regulations, infringing on any third party's rights, or engaging in fraudulent or deceptive practices.

Content Standards

All content submitted by Users must be accurate and not misleading. Users may not post any offensive, harmful, or inappropriate content on the Platform.

8. Intellectual Property

All content and materials available on the Platform, including but not limited to text, graphics, logos, and software, are the property of ResQbites or its licensors and are protected by intellectual property laws. Users may not use any content from the Platform without the prior written consent of ResQbites.

9. Limitation of Liability

To the fullest extent permitted by law, ResQbites shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your use of or inability to use the Platform; (b) any conduct or content of any third party on the Platform; or (c) any content obtained from the Platform.

10. Indemnification

You agree to indemnify and hold harmless ResQbites, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Platform, or your violation of these Terms.

11. Modifications

ResQbites reserves the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on the Platform. Your continued use of the Platform following such notification constitutes your acceptance of the modified Terms.

12. Termination

ResQbites may terminate or suspend your account and access to the Platform at any time, without prior notice or liability, for any reason, including if you breach these Terms.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law provisions.
